Glanbia Restructures Board, Announces New Appointments

Dairy firm Glanbia has announced that it will reorganise the composition of its board of directors.

The new 16-member board will comprise two executive directors, six independent non-executive directors, and eight non-executive directors nominated by Glanbia Co-operative Society Limited.

New Appointments

The company has appointed Mary Minnick and Richard Laube as independent non-executive directors, effective 1 May 2019.

Minnick is a former Coca-Cola employee, who spent 23 years with the cola giant in various senior management role, including as chief operating officer of the Asia region, division president roles in the Japan, South Pacific and Asian regions, and chief marketing officer and global president of strategy and innovation.

Between 2007 to 2018, she was a partner of the consumer-focused private equity firm, Lion Capital LLP.

Presently, she is a member of the boards of Target Corporation and Leo Holdings Corp.

Wealth Of Experience

Laube has accrued a wealth of experience in brand and general management and is a seasoned company director.

He was an executive board member of Nestlé SA from April 2005 to September 2010.

Between April 2011 to April 2016, he served as the chief executive of the Swiss medical device business, Nobel Biocare.

He was the chairman of Atkins Nutritionals Inc. from January 2011 to July 2017, and an independent director of the Simply Good Foods Company until 2017.

Presently, he serves as a director of Gnubiotics Sciences and Piqur Therapeutics SA.

Other Board Changes

Hugh McGuire and Brian Phelan will continue as CEOs of Glanbia Performance Nutrition and Glanbia Nutritionals respectively.

They will not nominate themselves for re-election to the board, the company said.

Senior independent director, Paul Haran, will retire as soon as a third new independent non-executive director is appointed, with Dan O’Connor taking on Haran's role as senior independent director.

Independent non-executive director, Donard Gaynor, will take on the additional responsibility of overseeing workforce engagement to improve the board's involvement in this area.
